Terms of Service

Last updated: · CEDARLIGHT LABS LLC

These Terms of Service ("Terms") are an agreement between you and CEDARLIGHT LABS LLC, a Wyoming limited liability company ("Cedarlight Labs," "we," "us" or "our"). They apply to our website at cedarlightlabs.com and to every product we operate, including Copywa (a subscription software service) and Museme (personalized printed books). Together we call these the "Services."

By creating an account, placing an order or otherwise using the Services, you agree to these Terms. If you don't agree, please don't use the Services.

Who can use the Services

You must be at least 18 years old, or the age of majority where you live, to create an account or make a purchase. If you use the Services for a business, you confirm that you have authority to accept these Terms on its behalf.

Our Services are not directed to children. Museme books are ordered by parents, guardians or other adults with permission to share a child's photo. See our Privacy Policy and Acceptable Use Policy.

Accounts

You're responsible for the information you give us and for keeping your login credentials secure. Tell us promptly at support@cedarlightlabs.com if you believe your account has been accessed without permission. You're responsible for activity under your account unless it results from our failure to take reasonable security measures.

Product types we offer

We sell two kinds of products:

  • Subscription software (for example, Copywa). You pay a recurring fee for access to an online service for as long as your subscription is active.
  • Personalized physical products (for example, Museme). You pay a one-time price for an item that we create from content you provide, print to order and ship to you.

Product-specific details, such as features, plan limits and current prices, are shown on each product's website at the time of purchase. If a product site states additional terms, those terms supplement these Terms.

Subscriptions and auto-renewal

Subscriptions are offered on monthly or annual billing periods. Your subscription renews automatically at the end of each billing period at the then-current price for your plan, until you cancel.

  • We show the price, billing period and renewal terms before you subscribe.
  • If we change the price of your plan, we'll notify you by email at least 14 days before the change applies to your next renewal. You can cancel before then.
  • Any free trial converts to a paid subscription at the end of the trial unless you cancel before it ends.

Billing and payments

All prices are in US dollars (USD) unless stated otherwise. Payments are processed by our payment provider, Stripe. We don't store your full card number. By purchasing, you authorize us (through Stripe) to charge your payment method for the amounts shown, including recurring subscription fees.

Charges appear on your card statement under the merchant name shown at checkout and on your receipt. Prices may not include sales tax, VAT or similar taxes, which we add where required by law. If a payment fails, we may retry the charge, and we may suspend access to a subscription until payment succeeds.

We're moving all product billing to CEDARLIGHT LABS LLC. During this transition, payments for some products may be processed under a separate merchant account. The merchant name is shown at checkout and on your receipt. These Terms, our Refund Policy and our Shipping Policy apply to your purchase either way, and you can always reach us at support@cedarlightlabs.com.

Cancellation

You can cancel a subscription at any time, either from your account settings in the product or by emailing support@cedarlightlabs.com from the email address used at checkout. When you cancel:

  • Your subscription won't renew.
  • You keep access until the end of the billing period you've already paid for.
  • We don't charge cancellation fees.

Orders for personalized physical products can be canceled for a full refund any time before you approve your preview. Approving sends the item to print; after that it's made specifically for you and can't be canceled. See our Refund Policy for details.

Refunds and shipping

Refunds are governed by our Refund Policy, and delivery of physical products by our Shipping Policy. Both are part of these Terms.

Acceptable use

You agree to follow our Acceptable Use Policy. In short: use the Services lawfully, upload only content you have the right to use, and don't misuse or disrupt the Services.

Your content

"Your content" means anything you upload or provide, such as text, brand information, photos or instructions, and the output the Services generate for you.

  • You keep ownership of your content, as between you and us.
  • You give us a limited license to host, process, copy and display your content only as needed to provide the Services to you (for example, to generate a draft or print your book).
  • We don't sell your content, and we don't use photos uploaded to Museme to train our own AI models.
  • You're responsible for making sure you have the rights and permissions needed for the content you provide.

AI-generated output can be inaccurate or similar to output created for others. Please review generated content before you publish or rely on it.

Our intellectual property

The Services, including our software, designs, logos and brand names (such as Cedarlight Labs, Copywa and Museme), belong to us or our licensors and are protected by law. We give you a limited, non-exclusive, non-transferable right to use the Services for their intended purpose while these Terms are in effect. You may not copy, resell, reverse-engineer or create derivative works from the Services except as the law allows.

If you send us feedback or ideas, we may use them without obligation to you.

Export controls and sanctions

You may not use the Services if you are located in, or ordinarily resident in, a country or region subject to comprehensive US sanctions, or if you are on a US government restricted-party list. You agree to comply with applicable export control and sanctions laws.

Third-party services

The Services may rely on or link to third-party services, such as Stripe for payments, shipping carriers for delivery, or platforms you connect. Your use of those services is governed by their own terms, and we're not responsible for them.

Disclaimers

We work hard to keep the Services reliable and useful. However, except as expressly stated in these Terms, the Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We don't guarantee that the Services will be uninterrupted or error-free, or that generated content will meet your specific goals.

Nothing in these Terms limits rights you have under consumer protection laws that can't be waived.

Limitation of liability

To the fullest extent permitted by law:

  • We won't be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data.
  • Our total liability for any claim relating to the Services is limited to the greater of (a) the amount you paid us for the relevant product in the 12 months before the claim or (b) US $100.

Some jurisdictions don't allow certain limitations, so some of these may not apply to you.

Indemnity

If you use the Services in violation of these Terms or the law, or upload content you don't have rights to, you agree to cover reasonable losses and costs (including legal fees) that we incur as a result of third-party claims.

Suspension and termination

You can stop using the Services and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the Services in a way that creates legal risk or harm to others. Where reasonable, we'll give notice first and a chance to fix the issue.

If we discontinue a subscription product, we'll give you reasonable advance notice and a prorated refund of any prepaid, unused subscription fees.

Sections that by their nature should survive termination (such as intellectual property, disclaimers, limitation of liability and governing law) will survive.

Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules. Before filing a claim, please contact us at legal@cedarlightlabs.com so we can try to resolve the issue informally within 30 days. If we can't, any dispute will be brought in the state or federal courts located in Wyoming, and both parties consent to their jurisdiction, unless the law where you live gives you the right to bring a claim in your local courts.

Changes to these Terms

We may update these Terms from time to time. If a change is material, we'll notify you by email or in the product before it takes effect. The "Last updated" date at the top shows when these Terms last changed. Continuing to use the Services after changes take effect means you accept the updated Terms.
